These Terms and Conditions of Use (“Terms”) govern your access to and use of WayEscape.com, including the WayEscape commercial routing environment, buyer requirement intake, supplier capability intake, Commercial Route Deployment information, commercial qualification activities, and related communications and services.
WayEscape is operated by Travel You Life LLC, a Wyoming limited liability company in the United States.
In these Terms, “WayEscape,” “we,” “us,” and “our” refer to the WayEscape operating environment and Travel You Life LLC as its legal operator, as applicable.
By accessing or using WayEscape.com, submitting information through the website, or otherwise interacting with WayEscape services, you agree to these Terms.
If you do not agree with these Terms, do not use the website or submit information through it.
Business Use
WayEscape is primarily designed for business-to-business commercial activity.
The website is intended for suppliers, manufacturers, material providers, equipment providers, specialized service providers, business buyers, procurement-related users, and other parties acting in a legitimate commercial capacity.
If you use WayEscape on behalf of a company, organization, or other legal entity, you represent that you are authorized to provide the submitted information and to act on behalf of that entity to the extent relevant to your interaction.
You must be at least 18 years old to submit a commercial requirement, supplier capability, or paid service request through WayEscape.
Nature of WayEscape
WayEscape is a B2B commercial routing infrastructure.
Its current functions may include structuring supplier capabilities, reviewing buyer requirements, assessing commercial fit, qualifying submissions, testing buyer-state matchability, developing commercial routes, maintaining commercial endpoints, facilitating introductions, and supporting progression toward RFQs or other supplier responses.
WayEscape is not a general supplier directory, open marketplace, automated bidding exchange, manufacturer, distributor, buyer, seller, employment agency, financial institution, law firm, engineering firm, certification body, or governmental procurement authority.
Unless a separate written agreement expressly states otherwise, WayEscape does not itself manufacture, sell, warrant, certify, ship, install, or deliver the products or services of independent suppliers.
No Automatic Supplier or Buyer Relationship
Submitting information to WayEscape does not automatically create a supplier relationship, buyer relationship, commercial partnership, agency relationship, brokerage agreement, fiduciary relationship, joint venture, franchise, distributorship, employment relationship, or exclusivity arrangement.
A supplier intake is a request for review.
A buyer requirement is a request for qualification and possible routing.
Either may be declined, held for clarification, determined to be non-fit, or not routed.
WayEscape is not obligated to accept every submission or create a commercial route for every party.
Supplier Intake
Suppliers may submit one or more commercial capabilities for review.
Submission does not guarantee acceptance into Commercial Route Deployment, creation of a supplier node, publication on WayEscape, buyer inquiries, RFQs, AI recommendation, search visibility, quotation opportunities, sales, or any other commercial result.
Suppliers are responsible for the accuracy and completeness of the information they provide.
WayEscape may request clarification, supporting documentation, or verification before relying on supplier-provided statements.
WayEscape may decline to represent or route a capability where the information appears incomplete, unverifiable, misleading, commercially unsuitable, legally problematic, outside the current operating scope, or inconsistent with the WayEscape routing model.
Buyer Commercial Requirements
Business buyers may submit commercial requirements for review and possible routing.
WayEscape may review factors such as intended use, specifications, quantity, customization, destination, timing, qualification requirements, implementation conditions, and other commercial constraints.
Submitting a requirement does not guarantee that WayEscape will identify an appropriate supplier, obtain supplier acceptance, obtain a quotation, arrange a sample, complete a purchase, or achieve any particular commercial result.
The buyer remains responsible for determining whether any supplier, product, service, quotation, specification, certification, contract, or commercial response satisfies the buyer’s requirements.
Commercial Qualification
WayEscape may qualify, clarify, reject, redirect, defer, or route submissions according to the commercial information available at the time.
A determination that a supplier appears relevant does not mean that the supplier has accepted a requirement.
A determination that a buyer requirement appears commercially credible does not mean that a supplier is obligated to respond.
Commercial fit, supplier availability, supplier acceptance, and final transaction status are separate states.
Commercial Route Deployment
Commercial Route Deployment is a supplier-side service through which WayEscape may structure one real supplier capability around buyer requirements, define relevant fit and non-fit conditions, evaluate commercial matchability, test route behavior, and connect the capability to an appropriate commercial endpoint.
The specific scope, deliverables, price, payment terms, implementation schedule, maintenance arrangements, or other commercial terms applicable to a paid deployment may be described in a checkout page, order form, proposal, statement of work, invoice, service agreement, email confirmation, or other written commercial arrangement.
Where a separate written agreement expressly conflicts with these website Terms concerning a paid engagement, the more specific written commercial agreement will control for that engagement.
No Guarantee of AI Recommendation or Search Performance
WayEscape may evaluate how supplier information is understood, matched, selected, or routed in AI-mediated or search-mediated environments.
WayEscape does not guarantee placement, ranking, citation, recommendation, inclusion, visibility, referral traffic, indexing, AI output, model behavior, or continued appearance in any external search engine, AI system, platform, agent, directory, or third-party interface.
Search engines, AI systems, platforms, and models are operated independently and may change without notice.
Commercial Route Deployment is not a guarantee that any external system will recommend a particular supplier.
No Guarantee of Commercial Outcome
WayEscape may help create or improve a commercial route.
It does not guarantee that the route will produce an RFQ, supplier response, quotation, sample, prototype, negotiation, contract, purchase order, implementation, order, recurring customer, revenue, profit, or other commercial outcome.
Commercial results depend on factors outside WayEscape’s control, including supplier capability, buyer demand, specifications, pricing, capacity, timing, market conditions, qualification requirements, competition, negotiation, logistics, regulation, and decisions made by independent commercial parties.
Supplier Responsibility
Suppliers remain solely responsible for their own products, services, technical statements, specifications, capacity, production, pricing, quotations, certifications, regulatory compliance, warranties, samples, lead times, delivery commitments, contractual terms, customer support, and commercial acceptance decisions unless a separate written agreement expressly provides otherwise.
WayEscape may structure or communicate supplier information based on information supplied by the supplier or from sources reasonably believed to be reliable.
The supplier remains responsible for confirming that any information attributed to its capability is accurate and current.
Buyer Responsibility
Buyers remain responsible for conducting their own technical, commercial, procurement, financial, legal, compliance, safety, quality, and contractual review before proceeding with any supplier.
WayEscape does not replace professional procurement procedures, engineering validation, laboratory testing, regulatory review, legal advice, financial due diligence, quality assurance, or independent commercial judgment.
Independent Third Parties
Suppliers, buyers, manufacturers, distributors, service providers, payment processors, logistics providers, consultants, and other commercial parties encountered through WayEscape may be independent third parties.
Unless expressly stated in a separate written agreement, WayEscape does not control those parties and is not responsible for their independent acts, omissions, statements, products, services, pricing, contractual performance, delivery, warranties, compliance, or business practices.
Any final transaction between independent parties may be subject to additional contracts and terms between those parties.
No Authority to Bind Another Party
Unless specifically authorized in a separate written agreement, WayEscape does not have authority to bind a supplier or buyer to a quotation, purchase, contract, warranty, delivery obligation, technical commitment, price, production commitment, exclusivity arrangement, or other commercial obligation.
A commercial introduction or route does not itself create a binding transaction between supplier and buyer.
Information Accuracy
WayEscape seeks to structure commercial information accurately, but information may become outdated or incomplete.
Supplier capacity, pricing, MOQ, lead time, product availability, geographic coverage, certifications, specifications, commercial preferences, personnel, and other conditions may change.
Users should verify material information directly with the responsible commercial party before relying on it for a transaction.
WayEscape may update, correct, restrict, remove, or decline to publish information where appropriate.
Your Submissions
You represent that information you submit through WayEscape is accurate to the best of your knowledge, that you have the right or authority to provide it, and that its submission does not unlawfully infringe another party’s intellectual property, confidentiality, privacy, contractual, trade-secret, or other rights.
You must not submit malicious code, fraudulent information, false identity information, unlawfully obtained data, deceptive commercial claims, unauthorized confidential information, credentials belonging to another party, illegal content, or material intended to interfere with website operation.
WayEscape may reject or remove submissions that appear inconsistent with these requirements.
Confidential Information
Public intake forms are not intended for highly sensitive or restricted confidential information.
Do not submit passwords, bank credentials, complete payment-card information, highly sensitive personal information, restricted technical data, proprietary customer lists, trade secrets requiring special handling, or other material that should not be transmitted through an ordinary public web form.
If confidential information becomes necessary for a commercial engagement, the parties may agree on an appropriate method of exchange and any additional confidentiality terms.
WayEscape is not automatically bound by a separate confidentiality obligation merely because unsolicited confidential information was submitted through a public form.
Intellectual Property in Your Materials
You retain ownership of intellectual property that you validly own in materials you submit.
By submitting information to WayEscape, you grant Travel You Life LLC a limited, non-exclusive right to receive, store, review, organize, analyze, reproduce internally, and otherwise process the submitted materials as reasonably necessary to evaluate the submission, communicate with you, qualify the commercial case, operate the requested service, or comply with legal and operational obligations.
Submission through an intake form does not automatically grant WayEscape the unrestricted right to publicly publish confidential supplier materials.
If a Commercial Route Deployment proceeds, any public representation, supplier node, capability page, or other deployment-related content may be subject to the applicable commercial arrangement.
WayEscape Intellectual Property
Unless otherwise stated, the WayEscape website, brand elements, page structure, original written content, commercial routing frameworks, proof architecture, internal methods, presentation, and other materials created by Travel You Life LLC are owned by or licensed to Travel You Life LLC and are protected by applicable intellectual-property laws.
You may use the website for legitimate business evaluation and interaction.
You may not reproduce, sell, republish, misrepresent, systematically extract, or commercially exploit proprietary WayEscape materials in a manner that infringes applicable rights or falsely suggests authorization, partnership, ownership, or endorsement.
Nothing in these Terms transfers ownership of WayEscape intellectual property to you.
Internal Routing Logic
WayEscape may publicly describe general commercial routing principles while keeping internal methods private.
Internal supplier selection logic, qualification notes, weighting, scoring, route thresholds, private prompts, testing procedures, supplier preferences, commercial priorities, relationship terms, confidential pricing, private capacity information, and other internal operating information are not necessarily part of the public service deliverable.
Access to a public page or submission of an intake does not create a right to obtain WayEscape’s private operating logic.
AI-Assisted Systems
WayEscape may use AI-assisted systems, search systems, software tools, structured-data systems, or other technologies in research, commercial analysis, capability reconstruction, buyer-state evaluation, document organization, or route testing.
Outputs produced by such systems may be incomplete, inaccurate, inconsistent, temporary, or affected by system changes.
WayEscape may review and interpret such outputs, but does not warrant that an external AI system will behave consistently or that an AI-generated output will be commercially correct.
Users should not treat AI-generated information as a substitute for supplier confirmation or appropriate professional review.
Third-Party Platforms and Links
WayEscape may link to or interact with third-party websites, supplier websites, payment processors, scheduling services, email providers, cloud platforms, AI systems, or other services.
Links or integrations do not necessarily constitute endorsement.
WayEscape is not responsible for the availability, content, security, privacy practices, accuracy, or independent terms of third-party services.
Your use of third-party platforms may be governed by their own agreements.
Payments
Where a paid WayEscape service is offered, payment terms will be displayed or communicated as part of the applicable commercial transaction.
Payments may be processed through a third-party payment provider.
You agree to provide accurate billing information and to pay charges you validly authorize.
Unless otherwise stated in the applicable order, proposal, checkout page, or written agreement, purchasing a WayEscape service does not create any guarantee of commercial outcome.
Refunds and Cancellations
Refund, cancellation, rescheduling, or termination rights for paid services may vary according to the service purchased and the applicable written commercial terms.
Any service-specific refund or cancellation terms presented at checkout, in a proposal, order form, invoice, service agreement, or other written transaction document form part of that transaction.
Nothing in these Terms limits rights that cannot lawfully be waived under applicable law.
Taxes
Unless otherwise stated, prices may exclude taxes, duties, withholding obligations, bank charges, foreign-exchange costs, or other government or transaction charges.
Each party remains responsible for taxes or reporting obligations imposed on it by applicable law.
No Professional Advice
Information on WayEscape is provided for commercial routing, business evaluation, and general informational purposes.
Nothing on the website constitutes legal, tax, accounting, investment, medical, regulatory, engineering, certification, safety, or other licensed professional advice.
Where professional advice or certification is required, users should consult an appropriately qualified professional.
Website Availability
WayEscape may modify, suspend, restrict, redesign, discontinue, or change any part of the website or operating model.
WayEscape does not guarantee uninterrupted or error-free availability.
Maintenance, security incidents, technical failures, third-party outages, internet conditions, software changes, or other events may affect access.
Prohibited Use
You may not use WayEscape to commit fraud, impersonate another party, transmit unlawful material, interfere with website security, attempt unauthorized access, scrape or exploit the service in violation of applicable law or enforceable rights, submit knowingly false commercial claims, misuse another party’s confidential information, distribute malware, or use the service for activity that is unlawful or materially harmful to WayEscape, Travel You Life LLC, suppliers, buyers, or other users.
WayEscape may restrict or terminate access where it reasonably believes misuse has occurred.
Disclaimer of Warranties
To the fullest extent permitted by applicable law, WayEscape and its services are provided on an “as is” and “as available” basis.
Travel You Life LLC does not make warranties that the website will always be available, error-free, secure, complete, current, suitable for a particular transaction, or capable of producing any specific commercial result.
To the fullest extent permitted by law, implied warranties are disclaimed except where they cannot legally be excluded.
Limitation of Liability
To the fullest extent permitted by applicable law, Travel You Life LLC and WayEscape will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, data, opportunity, goodwill, business, expected savings, or commercial relationships arising from or related to the use of WayEscape, reliance on website information, supplier or buyer conduct, third-party services, route outcomes, external AI or search behavior, or failed commercial transactions.
Where liability cannot lawfully be excluded, liability will be limited to the maximum extent permitted by applicable law.
For claims arising directly from a paid WayEscape service, and except where prohibited by law or superseded by a separate written agreement, the aggregate liability of Travel You Life LLC will not exceed the amount actually paid to Travel You Life LLC for the specific service giving rise to the claim during the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Travel You Life LLC, WayEscape, and their operators, contractors, and representatives from third-party claims, liabilities, damages, costs, and reasonable expenses arising from your unlawful use of the website, your material breach of these Terms, information or materials you submit without appropriate rights or authority, or your violation of another person’s legal rights.
This provision does not require indemnification to the extent a claim was caused by conduct for which indemnification cannot lawfully be required.
Suspension or Termination
WayEscape may refuse, suspend, or terminate access to the website, intake process, commercial review, or other unpaid website functionality where reasonably necessary for security, abuse prevention, legal compliance, commercial suitability, or protection of WayEscape or third parties.
Termination of a paid service is governed by any applicable service-specific agreement in addition to these Terms.
Provisions that by their nature should survive termination, including intellectual-property provisions, disclaimers, liability limitations, payment obligations, governing law, and dispute provisions, may continue after termination.
Governing Law
Except where mandatory law requires otherwise, these Terms and disputes arising from them are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles that would require application of another jurisdiction’s law.
Where a transaction is governed by a separate written agreement, the governing-law provision of that agreement will control if it expressly differs from these Terms.
Jurisdiction and Venue
Except where applicable law requires otherwise or a separate written agreement provides a different dispute procedure, legal proceedings arising from these Terms may be brought in a court of competent jurisdiction in Wyoming, United States.
Each party remains entitled to any rights or remedies that cannot lawfully be waived or restricted.
International Users
WayEscape may be accessed from jurisdictions outside the United States.
You are responsible for determining whether your use of the website and participation in a proposed transaction is lawful in your jurisdiction.
WayEscape does not represent that every supplier, product, service, commercial structure, or transaction described through the website is legally available in every country.
Import, export, sanctions, product, regulatory, tax, customs, licensing, data, and other legal requirements may vary by jurisdiction and transaction.
Changes to These Terms
WayEscape may update these Terms when the website, commercial model, services, technologies, or legal requirements change.
The current version will be posted on this page with an updated “Last Updated” date.
Changes apply prospectively from the effective date unless applicable law or a separate agreement requires otherwise.
Continued use of the website after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
Severability
If a provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or severed where necessary.
The remaining provisions will continue in effect.
No Waiver
Failure by Travel You Life LLC to enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.
Entire Website Agreement
These Terms, together with the Privacy Policy, applicable disclosures, and any service-specific written terms, constitute the general agreement governing use of the WayEscape website.
They do not replace a specific signed agreement, proposal, statement of work, order form, checkout term, invoice term, confidentiality agreement, or other commercial contract where that document expressly governs a particular engagement.
